Terms and Conditions

1. Introduction
Welcome to GNetworkClub! By accessing or using our website (the “Site”) and services (the “Services”), you agree to comply with and be bound by these Terms and Conditions (the “Terms”). If you do not agree with these Terms, please do not use our Site or Services.
2. User Accounts
2.1. Eligibility: You must be at least 18 years old to create an account or use the Services. By creating an account, you represent that you are 18 or older. We may suspend or terminate any account we believe belongs to someone under 18.
2.2. Registration: To access certain features of the Site, you must create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to ensure it remains accurate, current, and complete.
2.3. Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
2.4. Host and Admin Accounts: Hosts and admins may create accounts solely to send invoices or manage events. An account created for these purposes is not required to participate in any other part of the Site or Services.
2.5. Directory Visibility: Host and admin accounts are not a public membership listing unless the account holder opts in. Directory visibility is optional and can be turned off at any time from your account settings.
2.6. No Conditioning on Visibility: Hosts must not use directory visibility as a condition of payment or attendance. No one may be required to appear in a public listing in order to pay an invoice, register for an event, or attend an event.
3. Vendor Accounts
3.1. Vendor Registration: Vendors can create accounts to list and sell products on the Site. Vendors agree to provide accurate, current, and complete information about their products and to update such information as necessary.
3.2. Vendor Responsibilities: Vendors are responsible for ensuring that their products comply with all applicable laws and regulations. Vendors agree to honor all sales and not to engage in any fraudulent or misleading activities. If multiple members complain about your product/service, we will review and Vendor privileges may be revoked.
3.3. Prohibited Listings: Vendors may not list anything illegal where it is sold or delivered, counterfeit or infringing goods, stolen property, weapons, illegal drugs or drug paraphernalia, recalled or unsafe products, adult sexual content, or any product or service that Stripe prohibits under its Restricted Businesses list. We may remove any listing, and suspend Vendor privileges, at our discretion.
3.4. Listing Content: You keep ownership of the titles, descriptions, images, and other content you publish with your products. You grant GNetworkClub a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote that content on the Site, in our apps, and in our marketing for as long as the listing is live and for a reasonable time after. You confirm you have the rights to everything you publish. If you believe a listing infringes your rights, contact us and we will review it.
3.5. Taxes: Vendors are responsible for determining, collecting, reporting, and paying any sales, use, income, or other taxes that apply to their sales, except where the law requires GNetworkClub or our payment processor to collect or report them. We or our payment processor may issue tax forms, such as Form 1099-K, and report your earnings to tax authorities where required.
3.6. Refunds and Disputes: Vendors must honor the refund terms shown on their listing and our Refund Policy. If a buyer is refunded or disputes a charge (a “chargeback”) for your product, the amount, and any related fees, may be deducted from your wallet balance as described in Section 6.
4. Product Orders
4.1. Ordering Products: Members can order products listed by vendors on the Site. By placing an order, you agree to pay the listed price for the product and any applicable shipping and handling charges.
4.2. Order Fulfillment: Vendors are responsible for fulfilling orders in a timely and professional manner. GNetworkClub is not responsible for the fulfillment of orders or the quality of the products provided by vendors.
4.3. GNetworkClub Is a Marketplace: Unless a listing says it is sold by GNetworkClub, the vendor is the seller of the product, and the contract of sale is between you and the vendor. GNetworkClub provides the marketplace and processes the payment, but does not own, inspect, or guarantee vendor products.
5. Transactions
5.1. Platform Transactions: Any time a transaction occurs on the platform it is subject to a 10% fee. The 10% fee includes merchant processing, state taxation, and rewarding the asset owner 5% of the 10% collected.
6. Wallet, Balances, and Withdrawals
6.1. Your Wallet: Earnings from your product sales, ticket sales, and affiliate commissions are recorded as a balance in your GNetworkClub wallet. A wallet balance is a record of amounts GNetworkClub owes you under these Terms. It is not a bank account or deposit, it is not insured by the FDIC or any government agency, and it does not earn interest.
6.2. Pending and Available Balances: New earnings may first appear as pending and become available for withdrawal later, for example after an order is fulfilled, an event takes place, or the window for refunds and chargebacks has passed. Only your available balance can be withdrawn.
6.3. Withdrawals: You can withdraw your available balance to a bank account you have connected and that is in your own name. Before your first withdrawal you must complete identity verification (see Section 7). Withdrawal requests are reviewed before they are paid and may be approved, delayed, or rejected. A withdrawal fee may apply, and any fee is shown in the app before you submit your request. Once approved, the time it takes for funds to reach your bank depends on our payment processor and your bank.
6.4. Holds, Deductions, and Negative Balances: We may hold, reverse, or deduct amounts from your wallet to cover refunds, chargebacks, fees, amounts credited to you by mistake, and losses from fraud or a breach of these Terms. If those amounts exceed your balance, your balance may become negative, and you agree to repay it. We may recover a negative balance from your future earnings.
6.5. Investigations: If we suspect fraud, abuse, or unlawful activity, or if required by law or our payment processor, we may freeze your wallet and withhold withdrawals while we investigate.
6.6. Closing Your Account: If you close your account, or we terminate it, you may withdraw your remaining available balance, minus any amounts we are entitled to hold or deduct under this Section, unless the law or our payment processor prevents it. Unclaimed balances may be handled as required by applicable unclaimed property laws.
7. Payment Processing and Bank Connections
7.1. Stripe: Payment processing services for sellers on GNetworkClub are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a seller on GNetworkClub, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of GNetworkClub enabling payment processing services through Stripe, you agree to provide GNetworkClub accurate and complete information about you and your business, and you authorize GNetworkClub to share it and transaction information related to your use of the payment processing services provided by Stripe.
7.2. Identity Verification: To receive payouts you must provide accurate identity information, such as your legal name, date of birth, address, and, if requested, a tax identification number or identity document. We or Stripe may decline, limit, or stop payouts to anyone whose identity cannot be verified.
7.3. Plaid: We use Plaid Inc. (“Plaid”) to connect your bank account for withdrawals. By connecting a bank account, you grant GNetworkClub and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from your financial institution, and you agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy. 7.4. Third-Party Services: Stripe and Plaid are independent companies. GNetworkClub is not responsible for their services, outages, or decisions, such as a bank or processor declining a payout.
8. Brand Events
8.1. Event Participation: Members can attend brand events organized through the Site. By registering for an event, you agree to comply with any event-specific terms and conditions. Brand Events are organized by select Brands and have full operating discretion to be ran as they see fit.
8.2. Event Conduct: You agree to conduct yourself in a respectful and lawful manner at all events. GNetworkClub reserves the right to remove any participant from an event for inappropriate behavior. We do not condone drug use or consumption of drugs at any event. If found to break this rule, we may revoke your membership. Fighting is strictly prohibited and will result in an immediate ban from the club. If a member conducts themselves inappropriately, we will review per case, and may result in suspension or a full ban from the club.
8.3. Guest List Management: Event hosts, including the event owner and members of the event’s team, reserve the right to remove any attendee from their event’s guest list at any time and for any reason. Removal from a guest list may cancel any RSVP or ticket associated with that event, and does not by itself affect your GNetworkClub membership.
9. Affiliate Program
9.1. Becoming an Affiliate: All Members will be given affiliate privileges on the platform. Affiliates will earn commissions on sales generated through their referral links also known as assets. Members can apply to become affiliates and earn commissions on sales generated through their referral links. Affiliates must comply with the terms of the affiliate program as provided by GNetworkClub.
9.2. Assets: Any member that is currently not a member of the platform and brought onto the platform via your link will be credited to you as your Asset. This Asset will be displayed on your profile and anytime they spend money on the site you will receive 5% of their spending into your designated wallet.
9.3. Commission Payments: Commissions will be paid to affiliates according to the terms of the affiliate program, into the affiliate’s wallet under Section 6. GNetworkClub reserves the right to withhold or adjust commission payments in cases of fraud or abuse.
10. General Provisions
10.1. Termination: GNetworkClub reserves the right to suspend or terminate your account and access to the Site and Services at any time, without notice, for any reason, including but not limited to a breach of these Terms.
10.2. Modifications: GNetworkClub may modify these Terms at any time. Your continued use of the Site and Services following any modifications indicates your acceptance of the new Terms.
10.3. Limitation of Liability: To the maximum extent permitted by law, GNetworkClub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Site or Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Site; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Site by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Site or Services.
10.4. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GNetworkClub operates, without regard to its conflict of law principles.
10.5. Communications: By creating an account, you agree that GNetworkClub may send you transactional messages related to your account, orders, tickets, and invoices, as well as marketing emails. You may unsubscribe from marketing emails at any time using the link in any marketing email or from your account settings. Marketing text messages are sent only with your separate express consent.
